Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ChiefAIO website, audits, members area, software, and related services (collectively, the "Services").

By creating an account, submitting an audit application, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Who We Are

ChiefAIO ("ChiefAIO," "we," "us," or "our") provides operations audits, advisory services, and related software experiences to help companies modernize and automate their back‑office operations.

2. Eligibility

You may use the Services only if you are at least 18 years old, have the legal authority to enter into these Terms, and are not barred from using the Services under applicable law.

3. Accounts & Security

  • You must provide accurate information when creating your account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • You agree to notify us promptly at [email protected] if you suspect unauthorized access to your account.

4. Services & Changes

We may update, improve, or modify the Services from time to time, including adding or removing features. We may also suspend or discontinue parts of the Services where reasonably necessary (for example, for maintenance or security reasons).

We will make reasonable efforts to notify you in advance of any material changes that negatively impact your use of the Services, where practical.

5. Fees & Payments

  • Certain parts of the Services, such as audits or subscriptions, may be offered for a fee.
  • Pricing and payment terms will be presented to you at the time of purchase or in a separate agreement or order form.
  • You authorize us (and our third‑party payment processors) to charge you for all applicable fees using the payment method you select.
  • Unless otherwise stated, fees are non‑refundable, except where required by law or expressly provided in an order form or written agreement.

6. Acceptable Use

You agree not to use the Services in any way that:

  • violates any applicable law, regulation, or third‑party right;
  • attempts to gain unauthorized access to any system or data;
  • interferes with or disrupts the integrity or performance of the Services;
  • attempts to reverse engineer, decompile, or otherwise derive source code from the Services;
  • uses the Services to build a competing product or service.

7. Customer Data & Confidentiality

"Customer Data" means information, documents, and other content that you or your team submit to the Services, including audit application data, pre‑audit forms, and related materials.

  • You retain ownership of your Customer Data.
  • You grant us a limited license to use Customer Data solely to provide and improve the Services, in accordance with our Privacy Policy.
  • We will treat Customer Data as confidential and will not disclose it to third parties except as described in our Privacy Policy or as required by law.

8. Intellectual Property

ChiefAIO owns all rights, title, and interest in and to the Services, including all software, content, designs, and documentation, except for Customer Data and third‑party content. You may not use our trademarks, branding, or logos without our prior written permission.

9. Third‑Party Services

The Services may integrate with or link to third‑party services (such as payment providers, email platforms, or analytics tools). Your use of those third‑party services is subject to their own terms and privacy policies, which we do not control.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non‑infringement.

We do not warrant that the Services will be uninterrupted, error‑free, or free of harmful components, nor that our recommendations will guarantee any particular financial or operational outcome for your business.

11. Limitation of Liability

To the fullest extent permitted by law, ChiefAIO will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Services.

To the extent permitted by law, our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount paid by you to ChiefAIO for the Services that gave rise to the claim during the twelve (12) months prior to the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless ChiefAIO and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services or your violation of these Terms.

13. Term & Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if we believe you have violated these Terms, misused the Services, or created risk of harm for us or others.

Upon termination, your right to access and use the Services will cease. Certain sections of these Terms will continue to apply, including those relating to fees, Customer Data, intellectual property, disclaimers, limitations of liability, and indemnification.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of the page and may provide additional notice as appropriate. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.
